Terms of Service

1. Acceptance of these Terms

These Terms of Service ("Terms") are a binding agreement between you and Speedrun Labs Inc. ("Speedrun Labs," "we," "us," or "our"), a corporation incorporated under the laws of the State of Delaware with its principal office located at 3435 Wilshire Blvd, 14th Floor, Los Angeles, CA 90010, United States. By accessing or using our websites, applications, and services (collectively, the "Services"), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to that organization.

2. The Services

Speedrun Labs provides AI consulting, venture-building, and related software services, including applications that — with your permission — connect to third-party accounts such as your Google account to provide features you request. We may add, modify, or discontinue features of the Services at any time.

3. Eligibility and accounts

• You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services.
• You are responsible for the accuracy of the information you provide and for safeguarding any credentials used to access the Services.
• You are responsible for all activity that occurs under your account.

4. Google account and YouTube API Services

Certain features of the Services use YouTube API Services to access YouTube data on your behalf, with your explicit consent granted through Google's OAuth consent screen. By using these features, you acknowledge and agree that:

• You agree to be bound by the YouTube Terms of Service.
• The Google Privacy Policy applies to Google's handling of your data.
• Our access is read-only: we can view, but never modify, your YouTube account data.
• You can revoke Speedrun Labs' access to your data at any time via the Google security settings page.
• Our collection, use, and storage of Google user data is described in our Privacy Policy and adheres to the Google API Services User Data Policy, including the Limited Use requirements.

5. Acceptable use

You agree not to:

• Use the Services in violation of any applicable law or regulation.
• Attempt to gain unauthorized access to the Services, other users' accounts or data, or our systems.
• Interfere with or disrupt the integrity or performance of the Services.
• Reverse engineer, decompile, or disassemble any part of the Services, except where permitted by law.
• Use the Services to infringe the intellectual property or privacy rights of others.
• Resell, sublicense, or provide the Services to third parties without our prior written consent.

6. Intellectual property

The Services, including all software, content, designs, logos, and trademarks, are owned by Speedrun Labs or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for their intended purpose. No rights are granted except as expressly set forth in these Terms.

You retain all rights to your own data. You grant us a limited license to process your data solely to provide the Services to you, as described in our Privacy Policy.

7. Feedback

If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

8. Third-party services

The Services may link to or integrate with third-party services (including Google and YouTube). We do not control and are not responsible for third-party services, their content, or their privacy practices. Your use of third-party services is governed by their own terms and policies.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPEEDRUN LABS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for certain damages; in those jurisdictions, the above limitations apply to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify and hold harmless Speedrun Labs and its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access to the Services at any time, with or without cause or notice, including if we reasonably believe you have violated these Terms. Upon termination, the provisions of these Terms that by their nature should survive (including Sections 6, 7, and 9–13) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Los Angeles County, California, and you consent to the personal jurisdiction of those courts.

14. Changes to these Terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date above. Material changes will be communicated through the Services or by email where appropriate. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
